Recitals

PG Vouchers Ltd are a company registered in England and Wales under company number 8043369 and our registered office at 9 East Parade (hereinafter referred to as "PG", "we", "our" or "us").

PG are the operators of the Site.

Any vouchers issued by the Site, are governed by the terms and conditions set out below (the "Terms and Conditions") and this shall constitute the entire agreement between PG and you ("the Agreement").

For the purposes of the Agreement, a voucher means a voucher which allows you to redeem it at a particular third party seller of goods and/or services ("Supplier") in exchange for the goods and/or services which are offered by a Supplier ("Voucher").

1. Pre-Agreement

You agree that:
a. you are legally capable of entering into binding contracts;
b. you are resident in the UK and are accessing the Website in the UK; and
C. you are at least 18 years old.
And by placing an order for a Voucher you warrant that the above is true.

2. Contract

2.1. Notwithstanding any correspondence which may pass between the parties, for example any acknowledgement of an order from PG, which the parties agree are simply invitations to treat and do not formalise any contract or agreement, the contract between you and PG shall not be formalised until PG have dispatched the Voucher to you by email("Contract").

2.2. PG reserves the right not to dispatch a Voucher to you at their absolute discretion (in which case we shall promptly refund any payment that has already been processed).

2.3. We reserve the right to change, modify, substitute, suspend or remove any information relating to a Voucher advertised on the Website at any time before a Contract is formed.

3. Price

3.1. The price of any Voucher will be as quoted on the Website from time to time (inclusive of VAT as applicable), save in the case of obvious error as set out in clause 3.2 below.

3.2. In the event where a Voucher has been listed on the Website incorrectly, and such error is obvious and unmistakeable and could have reasonably been recognised by you as a mispricing, we are under no obligation to dispatch any Voucher to you at the incorrect (lower) price. Furthermore, Suppliers are not obliged to accept any issued Voucher. In these instances, you will receive a full refund of the price paid for the Voucher.

4. Voucher and voucher products

4.1. The Voucher is valid until the Expiry Date. Following the Expiry Date, the Voucher shall be void and accordingly, for the avoidance of doubt:

4.1.1 The Supplier will not provide the Voucher Product; and

4.1.2 PG will not accept a claim to redeem the Voucher nor provide any refund for the same.

4.2. The goods and/or services which are offered by the Supplier in the Voucher (the "Products") are provided by the Supplier named on the Voucher and PG has no responsibility to you for:

4.2.1 providing the Products to you; and

4.2.2 The Products.

The Supplier is wholly responsible for these and if you have any complaint in relation to the Products you should contact the Supplier directly.

4.3. Each Voucher is subject to its own terms and conditions as set out in the terms and conditions relating to the supply of the Products and redemption of the Vouchers as set out on the page on the Site outlining the deal (under the headings "Full Details"). For the avoidance of doubt, this shall include but not be limited to, the terms and conditions issued by the Supplier in relation to the supply of Products (the "Full Details"). . By placing an order through the Site, you warrant that you agree to and will abide by the Full Details. In an event of a conflict between these Terms and Conditions and the Full Details, the Full Details will prevail.

4.4. Any sale, trade, resale or reproduction of a Voucher is wholly prohibited and PG reserves their rights to cancel any Voucher, at their absolute discretion, if they believe that you have not complied with the provisions of this clause 5.5.

4.5. It shall be at the sole discretion of the Supplier:

4.5.1 whether a Voucher can be combined with any other vouchers, offers, promotions, coupons or gift certificates on redemption of the Voucher and.

4.5.2.whether to accept a Voucher for alternative goods and/or services to the Products provided that, where a Voucher is redeemed at a Supplier for alternative goods and/or services, there is no entitlement to a refund or a credit if such goods and/or services received have a value which is less than the Voucher's stated face value.
For the avoidance of doubt, PG shall have no liability whatsoever in respect of the above.

4.6. Except where expressly stated, Vouchers can only be redeemed in their entirety and may not be redeemed in part and/or instalments.

4.7. PG not the Supplier shall have any responsibility whatsoever for any lost or stolen Vouchers.

5. Cancellations

5.1 You may cancel a Contract for a Voucher up to five working days after the day you receive the Voucher provided that you have not already redeemed the Voucher at a third party seller of goods and/or services ("Supplier"). If you cancel during this period, we will refund the amount paid for the Voucher in full and any refund will be made within 30 days of a cancellation made in accordance with this clause and usually by the same method originally used by you to pay for your purchase.

5.2. In order to validly cancel a Contract, you must:

5.2.1 Inform us in writing by emailing us at info@pgvouchers.co.uk

5.2.2 Destroy the Voucher; and

5.2.3 Delete any emails sent to you with a copy of the Voucher.
In the event you fail to comply with the above and/or attempt to use a cancelled Voucher, you will be in breach of contract and we reserve all PG's rights of action against you. For the avoidance of doubt, we shall seek full recompense from you as a result of this breach.

5.3. Where the Voucher has already been redeemed at a Supplier or where the Voucher has passed the date specified on a Voucher as the date after which the Voucher is no longer redeemable at a particular Supplier (" Expiry Date") you will not have any right to cancel a Contract.

6. PG’s Liability

6.1. Save in respect of our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, our liability for losses you suffer as a result of us breaking this agreement is wholly and absolutely limited to the purchase price of the Voucher you purchased.

6.2. Save in respect of our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, we are not responsible for the Products and/or any other goods and/or services for which a Voucher can be redeemed at a supplier. The Supplier is solely liable to you for all Voucher Products and/or any goods and/or services which the Supplier provides to you.

6.4. Save in respect of our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, we will not be liable for any consequential or indirect losses that result from our failure to comply with these Terms and Conditions even if such losses result from our deliberate breach. Such consequential or indirect losses include but are not limited to:
a. loss of income or revenue;
b. loss of business;
c. loss of profits;
d. loss of anticipated savings;
e. loss of data;
f. waste of management or office time; or
g. indirect, special or consequential loss.

6.5 We will not be liable or responsible for any failure to perform, or delay in performance of, any of our obligations under a Contract that is caused by events outside our reasonable control.

6.6 We have no liability to you whatsoever for any viruses or such similar issue which have been shown to derive from the Website.

7. Waiver

7.1. If we do not for whatsoever reason, at any time during the term of a Contract, insist upon strict performance of any of your obligations under the Contract, or if we fail, for whatsoever reason, to exercise any of the rights or remedies to which we are entitled under the Contract, this shall not constitute a waiver of such rights or remedies and shall not relieve you from compliance with such obligations.

7.2. A waiver by us of any default shall not constitute a waiver of any subsequent default.

7.3. No waiver shall be effective unless it is expressly stated to be a waiver and is communicated to you in writing.

8. Severability

In the event any part or provision of these Terms and Conditions is found to be unlawful and/or unenforceable, this shall not in any way affect the validity of any other part or provision of these Terms and Conditions. In such an event, these Terms which shall continue without limitation and in full force with the offending part or provision duly severed from these Terms

9 Entire Agreement

These terms and conditions and any document expressly referred to in them represent the entire agreement between us in relation to the subject matter of any Contract and supersede any prior agreement, understanding or arrangement between us, whether oral or in writing.

10 Governing Law and Jurisdiction

Contracts for the purchase of Vouchers through the Site will be governed by English law. Any dispute arising from, or related to, such Contracts shall be subject to the
